These Terms of Use (“Terms”) form a binding legal agreement between you (“Customer”, “you”) and VeryDRM Systems Inc. (“VeryDRM”, “we”, “us”, or “Company”) governing your access to and use of VeryDRM’s cloud-based content protection and digital rights management platform (“Service” or “VeryDRM Security”).
By accessing the VeryDRM websites, platform, APIs, or any protected content generated through our system (collectively, the “Service”), you agree to these Terms.
VeryDRM provides a SaaS-based DRM solution designed to balance strong content protection with a smooth user experience. While we implement advanced security technologies, no DRM system can guarantee absolute prevention of unauthorized access.
VeryDRM may update security mechanisms, platform features, and protection policies at any time to improve performance and security.
Protected content can be accessed through standard web browsers using our secure HTML5 viewer or supported PDF and video viewing environments, without requiring additional plugins or installations.
The Service is continuously maintained and improved. Your use of the Service indicates acceptance of these Terms and all related policies. The Service is licensed, not sold.
1. Definitions
For the purpose of these Terms:
“Authorized Users” or “End Users”
Individuals or entities who access content protected using VeryDRM.
“Customer Data”
Any files, documents, or information uploaded or processed by the Customer through the Service.
“Documentation”
User guides, technical materials, and support resources provided by VeryDRM, which may be updated from time to time.
“Service” or “Software”
The cloud-based DRM platform, including web applications, APIs, and related technology provided by VeryDRM.
“VeryDRM Security”
The content protection system and DRM solution offered by VeryDRM for securing digital assets.
2. License Grant
Upon payment of applicable fees and compliance with these Terms, VeryDRM grants the Customer a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Service.
No ownership rights are transferred. All rights not explicitly granted remain with VeryDRM.
3. Intellectual Property Rights
3.1 VeryDRM Technology
The Service includes proprietary technology such as software, systems, interfaces, design elements, and know-how developed or licensed by VeryDRM (“VeryDRM Technology”). This includes trademarks, branding, code, infrastructure, and related intellectual property (“VeryDRM IP Rights”).
Except for the limited rights granted in these Terms, no additional license or rights are granted to the Customer.
3.2 Customer Data
Customer retains full ownership of all Customer Data.
VeryDRM treats Customer Data as confidential and only accesses it when necessary to:
- Provide support or troubleshooting
- Operate and maintain the Service
- Respond to Customer requests

4. Use of the Service
4.1 Responsibilities of VeryDRM
VeryDRM agrees to:
- Protect Customer Data and restrict access to authorized personnel only
- Maintain reasonable security and integrity of the Service
- Provide standard technical support
- Use commercially reasonable efforts to maintain service availability, except during maintenance or events beyond our control (such as outages, cyberattacks, natural disasters, or infrastructure failures)
4.2 Support Services
VeryDRM provides standard customer support in accordance with its support policy:

Customers are responsible for supporting their own End Users.
In exceptional cases, VeryDRM may provide direct End User support at its discretion or through premium support plans.
4.3 Customer Obligations
Customers are responsible for all activity under their accounts and must ensure that:
- All Customer Data is accurate and lawful
- Appropriate security measures are in place to prevent unauthorized access
- Use of the Service complies with applicable laws and regulations
4.4 Restrictions
Customers must not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer or attempt to extract source code
- Use the Service to build competing products
- Frame, mirror, or resell the Service without authorization
- Attempt to bypass security or access controls
4.5 Acceptable Use
Customers agree not to use the Service to:
- Distribute malware or harmful code
- Send spam or unsolicited communications
- Upload illegal, infringing, or harmful content
- Disrupt or degrade system performance
- Gain unauthorized access to systems or data
4.6 Third-Party Services
The Service may rely on or integrate with third-party providers.
VeryDRM is not responsible for third-party services, their availability, or their performance.
5. Fees and Payment
Customers agree to pay applicable subscription fees as specified in the order form or pricing agreement.
VeryDRM reserves the right to:
- Update pricing with prior notice
- Suspend service for overdue accounts
- Charge applicable taxes as required by law
Late payments may accrue interest as permitted under applicable regulations.
6. Term and Termination
6.1 Term
This Agreement begins when the Customer first accepts these Terms and continues until terminated.
It may automatically renew based on the billing cycle unless cancelled.
6.2 Termination
Either party may terminate the Service with written notice according to billing terms.
VeryDRM may suspend or terminate access immediately if:
- Terms are violated
- Payment obligations are not met
- Security or legal risks are identified
- Required by law or regulatory authorities
6.3 Effects of Termination
Upon termination:
- Access to the Service will be disabled
- Protected content may become inaccessible to End Users
- Customer Data may be retained for a limited period before deletion
- Outstanding fees remain payable
7. Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties without authorization.
This obligation continues after termination of the Agreement for a reasonable period or as long as the information remains confidential in nature.
8. Ownership
All rights in the Service, including software, infrastructure, documentation, and technology, remain the exclusive property of VeryDRM.
Customers do not obtain any ownership rights in the Service.
All updates, enhancements, or modifications to the Service remain the property of VeryDRM.
9. Limited Warranty
VeryDRM provides a commercially reasonable effort to ensure the Service is available and functional.
However, the Service is provided “as is” and “as available,” without warranties of uninterrupted operation or fitness for a specific purpose.
VeryDRM does not guarantee:
- Continuous or error-free operation
- Compatibility with all systems
- Absolute prevention of unauthorized access
10. Limitation of Liability
To the maximum extent permitted by law:
- VeryDRM is not liable for indirect, incidental, or consequential damages
- Liability is limited to the total fees paid by the Customer during the applicable period
- VeryDRM is not responsible for data loss, business interruption, or third-party actions beyond its control
11. Limitation Period
Any claim arising from this Agreement must be initiated within one (1) year from the date the issue occurred.
12. Survival
Certain provisions, including confidentiality, intellectual property, restrictions, and liability limitations, will survive termination of this Agreement.
13. Entire Agreement
These Terms, along with any incorporated policies, represent the full agreement between the parties and supersede prior agreements or communications.
14. Changes to Terms
VeryDRM may update these Terms from time to time. Updates become effective once published on the website.
Continued use of the Service indicates acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of British Columbia, Canada.
Any disputes shall be resolved in the courts of British Columbia, unless otherwise required by applicable law.
